Once family members become Australian tax residents, a structure that made sense in Singapore, Kuala Lumpur, Hong Kong, Taipei, Jakarta or Shanghai can behave very differently.

Should the family keep the offshore structure, or bring it onshore into an Australian company or trust? The answer depends on who will live in Australia and for how long, what the structure owns, where decisions are really made, and how the home country taxes any change. This article outlines the main options in general terms only. Advice from a registered tax adviser, and from advisers in the home country, is essential before acting.

Why arriving in Australia changes the picture

Australian residents are generally taxed on their worldwide income and gains. When family members become Australian tax residents, several sets of rules may start to look at the offshore entities connected with them:

Residency of the entity itself. A company incorporated overseas may be treated as an Australian resident if its central management and control is in Australia. If the parents now make the key investment and strategic decisions from their home in Melbourne or Sydney, an offshore company may end up resident here. A trust may similarly be treated as resident if a trustee is resident or its central management and control is in Australia.

Distributions from foreign trusts. Amounts paid by a non-resident trust to Australian residents, including amounts representing income accumulated in earlier years, may be taxable in Australia, and in some cases an additional interest-type charge can apply.

Controlled foreign company rules. Where Australian residents control a foreign company, certain passive types of income may be attributed to them and taxed each year, even if nothing is paid out.

Transferor trust rules. Where an Australian resident has transferred value to a non-resident trust, the income of that trust may in some cases be attributed back to the person who transferred the value.

Temporary residents may be treated differently under some of these rules, so the family’s visa status matters. These regimes are technical, and how they apply depends closely on the facts.

The main options

1. Keep the offshore structure

Keeping the structure may suit a family where only some members move, or where the structure holds active businesses overseas and is genuinely managed overseas by directors or trustees who are not in Australia. The risk is that, in practice, control drifts to the family members living here. Board minutes will not help much if emails and messages show the decisions were really made in Australia.

2. Move trusteeship or management to Australia

Some families deliberately move the trusteeship or management to Australia, so that the entity becomes an Australian resident in an orderly and documented way. This can make the structure easier to administer, but a company or trust becoming resident can have its own tax consequences, both in Australia and in the country where it was established.

3. Wind up and distribute before migrating

Where the structure no longer serves a clear purpose, it may be cleaner to wind it up and distribute the assets to family members before they become Australian residents. Timing is critical: the same distribution made after arrival may be taxed quite differently. The home country, or the country where the assets are located, may also tax the liquidation or the distribution.

4. Transfer assets into Australian entities

Families staying long term often prefer an Australian discretionary trust with a corporate trustee, an Australian holding company, or both. Moving assets across is usually a disposal for tax purposes and may trigger tax in one or both countries.

General Australian points to keep in mind

Market values on arrival. When an individual becomes an Australian resident, many non-Australian assets they hold are generally treated as acquired at their market value at that time for capital gains tax purposes. Obtain independent valuations and keep records as at the date residency begins, so those values can be proved later.

Entities have their own rules. The treatment that applies to individuals does not automatically apply in the same way to a company or trust that becomes resident. Each entity needs to be reviewed separately.

Stamp duty. If Australian land, or an interest in a company or trust that holds Australian land, moves between entities, stamp (transfer) duty may apply. Duty rules differ by state and territory, and additional surcharges may apply to foreign-controlled companies and trusts.

Foreign investment approval. A company or trust that is foreign controlled may need foreign investment approval to acquire Australian land or certain other interests, even where the people behind it now live in Australia.

Timing. Many restructuring steps are simpler, and sometimes less costly, before arrival. Once family members are resident, the options may narrow.

Home-country tax. Some countries tax a person or entity on departure, on transfers of assets, or on the sale or restructure of offshore holding companies that own local assets. Mainland China, for example, has rules that can tax indirect transfers of Chinese assets.

Composite example: a Malaysian family relocating to Melbourne

This is a composite hypothetical drawn from common situations. Names and details are invented.

Mr and Mrs Tan, from Penang, own a BVI company that holds a share portfolio managed through a Singapore account and a shophouse in Malaysia. Their children study in Melbourne and the parents have applied for permanent residence. Their plan was to keep the BVI company and simply “run it from Melbourne”.

On review, the family realises that running the company from Melbourne could make it an Australian resident company, and that as Australian residents controlling it, they may also face attribution of its passive income. Instead, they consider a staged plan: obtaining valuations of the portfolio and the shophouse as at their expected residency date; moving the portfolio into an Australian trust structure after receiving Malaysian and Singapore advice on the transfer; leaving the shophouse in a Malaysian entity that is genuinely managed in Malaysia; and keeping clear records of where decisions are made. The final structure is settled together with their registered tax adviser in Australia and their advisers in Malaysia.

Frequently asked questions

Does becoming an Australian resident mean my offshore company is automatically taxed in Australia?

Not automatically. However, depending on where the company is managed and controlled, who controls it and the type of income it earns, Australian tax may apply to the company itself or to you as a shareholder. Each situation needs individual tax advice.

Should we restructure before or after we move?

Often before, because the options can narrow once family members are residents. But acting too early can create problems in the home country, for example if a transfer is taxed there. The right timing depends on visa plans, the type of assets and the rules of each country involved.

Can we appoint an overseas director so the company stays offshore?

A director who simply approves decisions that are really made in Australia generally does not solve the problem. What matters is where the real decisions are made in practice. If a company is to remain offshore, its governance needs to be genuine and properly documented.

How Chua Tan Associates can help

Chua Tan Associates advises Asian and cross-border families across Australia on structuring when they relocate, including reviewing existing offshore trusts and companies, establishing Australian trusts and companies, property transfers, and estate planning for the new structure.
