It explains the legal framework you work within, and the issues worth raising at your next committee meeting.

Many clan and hometown associations, temples and language schools were founded by a few volunteers who trusted each other. Decades later, the organisation may own a building, employ staff and receive donations, while still running largely on goodwill and memory. When the founding generation steps back, or an election or property dispute arises, the legal foundations matter.

The main legal structures

Incorporated association

Most community organisations in Victoria are incorporated associations under the Associations Incorporation Reform Act 2012 (Vic), registered with Consumer Affairs Victoria (CAV). Incorporation gives the association its own legal identity: it can own property and sign contracts in its own name, and members are generally not personally liable for its debts. It must have rules, and the model rules fill gaps on certain required matters.

Company limited by guarantee

Some larger organisations are companies limited by guarantee under the Corporations Act 2001 (Cth), governed by a constitution. Where the company is a registered charity, many reporting obligations are dealt with through the ACNC rather than ASIC.

Charitable trusts and unincorporated groups

Some temples hold property through trustees on charitable trust, or remain unincorporated with property in individuals’ names. Charitable trust property must be applied for the trust’s purposes, and changing those purposes may need court approval. Unincorporated groups can be fragile where property is tied to individuals.

ACNC registration, governance standards and DGR status

An organisation with charitable purposes, such as advancing religion, education or culture, may register with the Australian Charities and Not-for-profits Commission (ACNC), which can open access to tax concessions. Registered charities must meet the ACNC governance standards, which deal broadly with purposes and not-for-profit nature, accountability to members, compliance with Australian laws, the suitability and duties of responsible people, and public trust. A narrow category of basic religious charities is exempt.

Deductible gift recipient (DGR) status, which lets donors claim deductions, is a separate ATO endorsement. Following recent reforms, most non-government organisations seeking DGR endorsement must be registered charities. Not every charitable purpose qualifies, and a temple may need to consider whether a separate fund or entity suits particular activities.

Committee members’ duties and conflicts of interest

Committee members owe duties broadly similar to company directors’. In general terms, office holders must act with care and diligence, in good faith in the association’s best interests and for a proper purpose, and must not misuse their position or information. The committee must also ensure the association does not trade while insolvent and must hold an annual general meeting within the required time.

Under the Act, a committee member with a material personal interest in a matter must disclose it, the disclosure must be minuted, and the member generally should not take part in the decision, subject to limited exceptions. Common examples are a renovation contract for a relative’s company or employing a family member.

Rules, members’ rights and elections

Many associations still use rules adopted decades ago, sometimes translated informally and not always followed. A review of the rules is often the most useful governance step: who is a member, how committee members are elected and for how long, how general meetings are called, how proxies or online attendance work, and what happens to property on winding up.

Members have rights under the Act and the rules, including rights relating to general meetings and records, and the ability, with enough support, to require a special general meeting. Rule changes generally require a special resolution and CAV approval before they take effect. Clear election rules, consistently applied, prevent many disputes.

Records and financial reporting

Associations must keep proper financial records, a register of members and minutes. Reporting depends on the association’s tier, based on size: smaller associations have lighter obligations, while larger ones may need financial statements reviewed or audited and lodged with CAV. The tier thresholds changed for financial years ending on or after 1 July 2024, so committees should check their current tier. Most associations that are registered charities report to the ACNC instead of lodging a separate annual statement with CAV, though rule changes and changes of secretary still involve CAV.

Property held for the association

A temple, hall or school site is often the association’s most valuable and most emotional asset. Key questions are whose name is on the title, whether the property is held by the association, by trustees or by founders personally, whether any trust or restriction applies, and what the rules say about surplus assets on winding up.

Committee succession and the next generation

Founding members are ageing, and younger members, often Australian-born and more comfortable in English, are not always stepping forward. The rules govern eligibility, terms and casual vacancies, but succession is also cultural. Staggered terms, deputy roles, bilingual records and project roles for younger members may help.

Disputes, grievance procedures and Consumer Affairs Victoria

Every Victorian incorporated association’s rules must include a grievance procedure for disputes between members, and between members and the association. Under the model rules, parties first try to resolve the dispute themselves, then mediate. The Dispute Settlement Centre of Victoria can assist with mediation.

CAV oversees compliance with the Act but does not generally intervene in internal disputes or investigate alleged breaches of the rules. A court may, in some circumstances, make orders to enforce the rules or deal with certain other disputes, but litigation is costly and divisive. A separate article on our site discusses disputes in more detail.

Questions for committees

What structure is the organisation, and is it registered with the ACNC?

When were the rules last reviewed, and are they followed?

Is the register of members accurate?

How are conflicts of interest disclosed and recorded?

Whose name is on the title of any property?

Who will take over key roles in the next few years?

Frequently asked questions

Are committee members personally liable in an incorporated association?

Members are generally not liable for the association’s debts, but committee members can face consequences for breaching their duties, such as misusing their position or allowing insolvent trading.

Can Consumer Affairs Victoria resolve a dispute in our association?

Generally not. The association’s grievance procedure and mediation are usually the first steps.

Does a temple have to register with the ACNC?

Registration is voluntary, but it is generally needed for charity tax concessions and, for most organisations, DGR status. Whether it suits a particular organisation depends on its purposes.

How we work with community associations and charities

We work with the committee as a whole rather than one faction, and keep advice practical for volunteers. Typical matters include updating old or translated rules, clarifying how a building is held, guiding contested elections and mediating grievances. Justin Chua runs a program on committee succession for Chinese schools, churches and community associations, and is a Nationally Accredited Mediator. Consider a hometown association whose hall is registered in the names of two founders, one of whom has died. Resolving that may involve the rules, the title, the founder’s estate and the members, and the right approach depends on facts that need advice.

Every family’s situation is different, and the answer often turns on details. Book a consultation so we can review your documents and circumstances before you act.

How Chua Tan Associates can help

Chua Tan Associates advises Chinese and Asian community associations, temples, schools and charities in Victoria on their structure, rules, property and governance, and helps committees plan for the next generation. Justin Chua is a Nationally Accredited Mediator and an Accredited Family Business Advisor. He trained in accounting (Bachelor of Commerce, accounting major) and is an affiliate member of STEP (the Society of Trust and Estate Practitioners). We work with the organisation’s accountant and registered tax agents, and advise in English, Mandarin and Cantonese.

Important: This article is general information only and must not be relied on.
